Terms of Service — Goat Music

1. Acceptance of Terms

By accessing or using Goat Music (the "Service"), operated by Puya Ventures LLC d/b/a Goat Music ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. To make purchases or hold a paid subscription, you must be at least 18 or have parental consent. By using the Service, you represent that you meet these requirements.

3. Accounts

You are responsible for keeping your account credentials secure. You agree to provide accurate registration information and to notify us promptly of any unauthorized account access. You may delete your account at any time via your account settings.

4. User-Generated Content

The Service lets you submit content including but not limited to album ratings, reviews, lists, comments, and profile information ("User Content"). You retain ownership of your User Content. By submitting, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, display, distribute, reproduce, and modify your User Content solely in connection with operating and promoting the Service.

You represent that your User Content does not infringe any third party's rights and complies with applicable law. We may remove User Content that violates these Terms at our discretion.

5. Prohibited Conduct

You agree not to: (a) violate any law or third-party right; (b) post defamatory, harassing, or otherwise unlawful content; (c) impersonate any person or misrepresent affiliation; (d) interfere with the Service or its security; (e) reverse engineer, decompile, or attempt to extract source code; (f) use automated tools (bots, scrapers) without our written permission; (g) use the Service to send spam or promote unsolicited products; or (h) infringe intellectual property rights.

6. Paid Subscriptions

Certain features require a paid subscription processed through our merchant of record, Creem ("Creem"). By subscribing, you agree to Creem's terms in addition to these Terms.

  • Billing: subscription fees are billed in advance on a recurring basis (monthly or annual depending on your plan).
  • Auto-renewal: subscriptions auto-renew unless cancelled before the renewal date.
  • Cancellation: you may cancel any time via your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then.
  • Refunds: see our Refund Policy.
  • Price changes: we may change pricing with at least 30 days' notice via email or in-app notification.

7. Third-Party Integrations

The Service offers optional integrations with third-party platforms (Spotify, Apple Music, Last.fm, Discogs, RYM, AOTY, Bandcamp, and others). When you connect a third-party account, you authorize us to access information from that account per the scopes you approve. You can revoke access at any time via account settings or via the third-party platform directly. We are not responsible for third-party services.

8. Intellectual Property

The Service and its original content, features, and functionality (excluding User Content) are owned by Puya Ventures LLC and are protected by copyright, trademark, and other intellectual property laws.

9. DMCA / Copyright Complaints

If you believe content on the Service infringes your copyright, send a DMCA notice to legal@goatmusic.me containing the information required by 17 U.S.C. § 512(c)(3). Our designated agent is listed at [DMCA REGISTRY ENTRY URL — to be added after USCO registration].

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

We do not guarantee that user-submitted ratings, reviews, or recommendations are accurate, complete, or suitable for any purpose. The Service is for entertainment and discovery purposes.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PUYA VENTURES LLC, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to indemnify and hold harmless Puya Ventures LLC from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any third-party right.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms, suspected fraud, or to comply with legal obligations. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by JAMS in New York County, New York, except that either party may seek injunctive relief in court to protect intellectual property.

You waive any right to a jury trial and to participate in any class or representative action.

15. Changes to Terms

We may modify these Terms from time to time. We'll notify you of material changes by email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
